• Providing comprehensive legal and business guidance on grants and commercial contracts, including advice to internal client groups on issues such as intellectual property, licensing, indemnification, antitrust, trade secrets, employment, privacy, compliance, and confidentiality;
• Structuring, drafting, negotiating, and interpreting a wide range of both domestic and international, complex commercial agreements, including grants, services agreements, work orders, hosting agreements, licenses, nondisclosure agreements, and various other transactional documents;
• Guiding program and/or operations teams regarding vendor/partner selection and engagement, deal structure, budget planning and forecasting, and contract management;
• Identifying legal, business, strategic, financial, and reputational risks, and working with clients as well as other business partners, including Finance and Information Security, to mitigate such risks;
• Negotiating with global 3rd party grantees and vendors, governments, universities, and other non-government organizations (NGOs) to establish legal and business terms;
• Serving as the foundation’s first point of contact for dispute resolution;
• Developing & providing internal grant and contracts training & education for internal client teams; and,
• Partnering and collaborating on cross-organizational and cross-functional teams to structure transactions, evaluate budgets & rates, and improve internal engagement.
